Introduction:
This Agreement outlines the terms and conditions for participation in the Affiliate Program of Dialogue Online Education offered by Dialogue Social Enterprise ("the Company").
Eligibility:
The program is open to all approved Dialogue Social Enterprise Partners. Affiliates must be in good standing with the Company and adhere to this agreement's terms to participate.
Affiliate Commissions:
Affiliates will earn a 7% commission on every license sold through the affiliate's referral. The Company will calculate commissions based on the total transaction amount, excluding taxes, discounts, and any additional fees.
Payment:
Payment Methods: Commissions are paid via bank transfer only.
Payment Frequency: Commissions are paid once monthly. The specific payment date each month will be determined by the Company.
Referral Tracking:
Customers may either purchase directly through the Affiliate’s unique link or be referred to the Dialogue Education Team by the Affiliate. If the latter, the Affiliate must claim and report the sale to ensure it is recorded for commission purposes.
Term, Duration, and Termination:
The program is valid until 31.12.2023.
The Company reserves the right to terminate an Affiliate's participation in the program without notice if the Affiliate breaches any of these terms or any applicable law.
Limitation of Liability:
The Company shall not be liable for any damages or losses, whether direct or indirect, resulting from participation in the Affiliate Program.
Governing Law:
This Agreement shall be governed by German law. Any disputes arising shall be subject to the exclusive jurisdiction of the courts of Germany.
Modification:
The Company reserves the right to change any of the terms and conditions within this Agreement at its sole discretion.
Indemnification:
Affiliates shall indemnify, defend, and hold harmless the Company and its directors, officers, employees, and agents from and against all liabilities, losses, costs, expenses, damages, or injuries (including attorney's fees and costs of defense) they may sustain in connection with the Affiliate's wrongful acts or omissions, or any breach of this Agreement.
Entire Agreement:
This Agreement contains the entire agreement between the parties and supersedes all prior and contemporaneous agreements, understandings, negotiations, and discussions, whether oral or written, of the parties.
Clarifications:
In the event of any ambiguities, discrepancies, or disputes regarding the interpretation of these terms and conditions, the Company's decision shall be final and binding.
